Yeah! You got it right. If you are an American you can have 100% ownership of your company in Thailand. Also, the business objectives that will be available to you are going to be nearly as same as the Thai juristic individual or entity. All thank to the US-Thai Amity Treaty. However, to register a company under this treaty you must comply to the below mentioned;
- Register as an Alien Company;
- Upon recognizing a foreign company, the government grants 100% ownership,
- Apply for Certificate at the US Embassy;
- Apply to the Director of Ministry of Commerce for Approval;
- There are 3 conditions here;
- The US national shareholder must hold more than 50% shares,
- No director from any third country,
- In case of a sole proprietorship, the director can be either a Thai national or an US national,
Once you cater to these you should be able to form an Amity Treaty LLC in Thailand. To assist you with the registration, your company may require these from you;
- Name of the designated company (3 proposed names);
- Your confirm of the address (in Thailand)for the registered address (Head Office);
- Your business objective (in detail);
- Copy of passport (for the 3 the Promoters/Shareholders) –in addition, if the Authorized Director is a different individual from the shareholder, please provide a copy of his/her passport;
- Name of Authorized director(s), (in the case if you nominate more than 1 director, please specify the signatory condition);
- Certify copy of passport (certified by US commercial [US Embassy in Bangkok]) of the major shareholder(s);
With the submission of the documents it will be easier for your legal experts to start the process, which should take approximately four to five weeks and then more than two to three weeks from the submission of the application to the Ministry of Commerce.
