Then you must cater to these following in order to operate an international school in Thailand;

  • It must be majority-owned by Thais;
  • A license holder is a Thai national (with Education faculty qualification);
  • It must have a Thai principal (with Education faculty qualification);

These requisites being set by the Ministry of Education, you must have these following documents with you;

  1. Name of the designated company (please provide 3 names);
  2. Registered address (in Thailand) for your company (please provide a copy of the house registration);
  3. Company’s objective (please provide full detail of your business functions);
  4. Shareholders Information:
    • Copy of passport of your 3 promoters/shareholder;
    • Share allocation of each shareholder;
  5. Directorship Information:
    • Name of the Authorized Director(s);
    • Copy of passport for each Director;
    • Signatory condition of the director(s)
  6. The number of the foreigner (non-Thai) that you expected to have to work for this juristic entity.

However, no matter which business you choose, being a foreigner you will require incorporating a juristic entity, which is commonly a Limited Thai company. To proceed, the incorporation will need a reservation of the company’s name, based on your preference(s). But, be reminded that the reservation of the name will not be approved if they are repeated.

And once your company’s name is approved, you should be next filing a Memorandum of Association with the Commercial Registration Department. Cut to the final step, it requires the convening of a statutory meeting and then the director must submit their application to establish the company.

For the same, you must have 3 promoters, who will be converted into shareholders once the business is incorporated. In order to perform your business in Thailand, over 51% of the shares must be owned by Thai national. Also, each foreigner should be eligible to apply for a work permit in order to let them legally work in Thailand. Not to forget, your company must have a paid-up registered capital of minimum 2,000,000 Baht and must employ at least 4 Thai professionals.
